Terms & Conditions

Effective October 17, 2026

These Terms govern access to Transparent Cashflow, including its Purchase Orders service. Please review them before creating an account or subscribing.

1. Agreement and eligibility

By registering, accessing, or using Transparent Cashflow (the “Service”), you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. You confirm that you have authority to bind that organization and are legally able to enter into this agreement. If you do not agree, do not use the Service.

2. Service description

Transparent Cashflow provides cloud-based business purchasing tools, including purchase orders, vendor records, approvals, receiving, and reporting. Features, limits, and availability depend on the subscribed plan. Transparent Cashflow may integrate with Transparent Schedules using shared company accounts and related infrastructure, but the products and their subscriptions may be offered separately.

3. Accounts and company administration

You must provide accurate registration information, protect your credentials, and promptly notify us of suspected unauthorized access. Company administrators control user permissions and are responsible for the actions of their authorized users. You are responsible for ensuring information entered into the Service is accurate and lawful.

4. Subscriptions, billing, and renewals

Paid plans are offered on monthly or annual billing cycles at prices displayed during signup or checkout. Payment processing may be provided by Stripe. Unless canceled, subscriptions automatically renew for successive billing periods. You authorize recurring charges for the plan selected, including applicable taxes where required. Plan changes and cancellations are subject to the billing options presented in the Service or by the payment processor. Unless otherwise required by law or expressly stated at checkout, fees already paid are nonrefundable. Canceling ordinarily stops future renewals rather than immediately deleting your account or purchase records.

5. Plan limits and changes

Plans may limit users and functionality. We may modify pricing or features with notice where legally required. Material changes to paid subscription prices will apply as communicated before the relevant renewal. Promotional or bundled pricing may have separate eligibility conditions.

6. Purchase orders and business decisions

The Service is a workflow and recordkeeping tool; it is not a bank, payment guarantor, accountant, purchasing agent, or legal adviser. Purchase orders and approvals created in the Service are your organization's business records. You remain responsible for vendor relationships, contract terms, purchase authorization, taxes, regulatory compliance, and verification of transactions and financial information. The Service does not itself guarantee that a vendor accepts, fulfills, or pays any purchase order.

7. Your data and acceptable use

You retain rights to the business data you submit. You grant us the limited permission needed to host, process, transmit, back up, and display that data to provide and support the Service. Do not submit unlawful content, attempt unauthorized access, interfere with operations, or use the Service to violate another party's rights. You are responsible for having a lawful basis to store personal and vendor information.

8. Security and availability

We use reasonable safeguards intended to protect the Service, but no internet service can guarantee uninterrupted operation or absolute security. Scheduled maintenance, outages, third-party services, or circumstances outside our control may affect availability. You should maintain independent copies of records critical to your business.

9. Intellectual property

We and our licensors retain ownership of the Service, software, designs, trademarks, and documentation, excluding your submitted data. You receive a limited, nonexclusive, nontransferable right to use the Service during your authorized subscription in accordance with these Terms.

10. Third-party services

Payment processors, hosting providers, email services, and other third-party integrations may have their own terms and privacy practices. We are not responsible for third-party services outside our reasonable control.

11. Suspension and termination

We may suspend or restrict access for nonpayment, security concerns, unlawful use, or material violations of these Terms, subject to applicable law. You may stop using the Service and cancel subscriptions through available account or billing channels. Data retention and deletion following termination are subject to applicable law, operational requirements, and any separately published privacy or retention policy.

12. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or noninfringement. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

13. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, business opportunities, or data. Our aggregate liability arising from the Service will not exceed the amounts you paid for the Service during the 12 months preceding the event giving rise to the claim. This limitation does not apply where prohibited by law or to liability that cannot lawfully be limited.

14. Changes to these Terms

We may update these Terms from time to time. We will post an updated effective date and provide additional notice for material changes when required by law. Continued use after changes take effect constitutes acceptance to the extent permitted by law.

15. Governing law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles, except where mandatory law provides otherwise. Courts with appropriate jurisdiction in Colorado will hear disputes, subject to applicable law.
